Lawrence Wilson has held a number of positions with the legal departments of public corporations, most recently as the Vice President, Secretary and General Counsel of Stewart & Stevenson Services, Inc., a $1 billion manufacturer of industrial equipment and military vehicles and distributor of diesel engines and spare parts. He joined Franklin, Cardwell & Jones as a Principal in 2001.
His practice areas include general corporate, acquisitions, securities registration and regulation and other transactional matters. Lawrence's clients include public and private companies engaged in broadcasting, drug development, diesel engine distribution, yacht brokerage, title insurance, oilfield equipment, video equipment, asset tracking and recovery, foundries, real estate developers and various private equity investors.
In a recent engagement, Lawrence acted as special counsel to the Audit Committee of an American Stock Exchange listed company in an internal investigation of reported misconduct by the company's Chief Executive Officer. Lawrence advised the Audit Committee on the scope of investigation and disclosure issues that arose in connection with concurrent securities offerings, prepared and delivered a summary of findings and recommendations of changes to the internal corporate governance policies of the company. Other recent engagements include the sale of substantially all of the assets of an oilfield equipment manufacturer and the state registration of an intrastate offering for a title insurance company.
