Our Mergers & Acquisitions practice focuses on transactions involving public and private entities in a wide range of industries, from traditional "brick and mortar" to emerging high-tech fields. Our clients range from start-ups in the capital formation stage, to established business entities whose securities are traded on national securities exchanges.

We advise our clients in mergers, leveraged buyouts, acquisitions and dispositions of assets, stock sales and exchanges, roll-ups, recapitalizations and acquisitions and dispositions of equity and securities. This involves not only structuring and negotiating representations, warranties and indemnities, but also compliance with laws pertaining to ERISA, federal income tax, sales tax, the WARN (Plant Closing) Act and the Hart-Scott-Rodino Premerger Notification Act, among others.

  • Representation of Cabett Subsea in connection with the sale of the company to Parker Hannifin.
  • The firm represented Nitrogen Specialty Company, L.L.C. in a $37.7 Million asset sale.
  • The firm represented OMNI Laboratories, Inc. in connection with the structure, negotiation and consummation of a sale of all the issued and outstanding shares of common stock of OMNI Laboratories, Inc. to Weatherford International Ltd.
  • The firm represented Multi-Shot, LLC, a leading independent directional drilling services company based in Conroe, Texas in effecting the execution of a Merger Agreement dated September 6, 2006, whereby Multi-Shot will merge into a wholly owned subsidiary of JK Acquisition Corp., a publically traded NASDAQ company based in Houston, Texas, for cash and stock merger consideration of $105.7 Million. The firm previously represented the purchasers of Multi-Shot from Black Warrior Wireline Corp., a publicly traded company in based in Columbus, Mississippi, for $11 Million in September 2004. The merger between Multi-Shot and JK Acquisition is scheduled to close in January 2007.
  • Sale of a software telecommunications company to Golden Gate Capital.
  • Divestiture of 70% of securities of a regional investment banking firm for approximately $13,000,000.
  • Acquisition of the Snapple beverage distributorship for Dallas, Fort Worth and Houston areas, and subsequent sale of same distributorship back to Snapple.
  • Acquisition of the inventory, real estate and other assets of 22 Aire Liquide locations proving cylinder gases and welding supplies and negotiation of long-term filling and bulk gas purchase agreements.
  • Numerous transactions involving the purchase and sale of lumber distribution and construction material companies in Florida, Texas, California and Virginia.
  • Numerous transactions involving the purchase and sale of medical products companies.
